Music License Agreement
This Music License Agreement (the “Agreement”) is entered into by and between SoundtracksMusic.com (“Licensor”) and the individual or entity purchasing the license (“Licensee”). By purchasing and downloading the licensed track(s), the Licensee agrees to the following terms and conditions:
1. Grant of License
1.1 The Licensor grants the Licensee non-exclusive, non-transferable, worldwide license to use the selected music track(s) (“Licensed Music”) in accordance with the terms of this Agreement.
1.2 The Licensed Music may be used in the following types of projects:
Films, television shows, or web series. Online videos (e.g., YouTube, Vimeo). Commercials or advertisements (excluding broadcast TV unless an additional license is purchased). Podcasts, presentations, or other multimedia productions.
2. Limitations of Use
2.1 The Licensee may not:
Claim ownership of the Licensed Music. Reproduce, distribute, or resell the Licensed Music as a standalone product.
Use the Licensed Music in illegal, defamatory, or obscene projects. Transfer or sublicense the Licensed Music to third parties.
2.2 The Licensee must provide attribution to the Licensor as specified in Section 6 if required by the license terms (see below).
3. Term and Territory
3.1 This license is valid perpetually from the date of purchase unless terminated under Section 8.
3.2 The license is granted for worldwide use.
4. Ownership and Intellectual Property Rights
4.1 The Licensor retains full ownership and copyright of the Licensed Music.
4.2 This Agreement does not transfer any rights, titles, or interests in the Licensed Music beyond what is expressly stated herein.
5. Payment and Delivery
5.1 The Licensee agrees to pay the full license fee as displayed on the Licensor’s website at the time of purchase.
5.2 Upon receipt of payment, the Licensed Music can be downloaded or delivered in a downloadable format (e.g., WAV, MP3).
6. Attribution
6.1 Attribution is not required for non-commercial projects or if the Licensee has purchased an attribution-free license.
6.2 If attribution is required, the Licensee must credit the Licensor as follows:
“Music by SoundtracksMusic.com” with a link to the Licensor’s website where possible.
7. Indemnification
7.1 The Licensee agrees to indemnify and hold harmless the Licensor from any claims, damages, or liabilities arising from the Licensee’s use of the Licensed Music in violation of this Agreement.
8. Termination
8.1 This Agreement will terminate automatically if the Licensee breaches any of its terms.
8.2 Upon termination, the Licensee must immediately cease all use of the Licensed Music and delete all copies in their possession.
9. Limitation of Liability
9.1 The Licensor is not liable for any indirect, incidental, or consequential damages resulting from the use or inability to use the Licensed Music.
10. Miscellaneous
10.1 This Agreement constitutes the entire agreement between the Licensor and Licensee regarding the Licensed Music.
10.2 The Agreement is governed by the laws of the state of Naples Florida without regard to its conflict of law principles.
Full Exclusive Music License Agreement
2. Grant of Rights
1.1 The Licensor grants the Licensee the exclusive, worldwide, perpetual, and irrevocable right to use the selected music track(s) (“Licensed Music”) in any media or project.
1.2 The Licensee will have full, exclusive rights to the Licensed Music, meaning the Licensor will not license, sell, or distribute the track to any other party.
2. Ownership and Intellectual Property
2.1 The Licensor retains ownership of the original copyright to the Licensed Music.
2.2 The Licensee is granted exclusive usage rights but may not claim ownership of the copyright itself unless agreed upon in writing.
2.3 A Certificate of Exclusive License will be provided to the Licensee upon full payment.
3. Permitted Uses
3.1 The Licensed Music may be used in the following:
Films, television, streaming series, and theatrical productions.
Video games, commercials, or advertisements (including global campaigns).
Podcasts, presentations, or multimedia productions.
Any other project requiring custom music (e.g., trailers, brand themes).
3.2 There are no geographical or platform restrictions on use.
4. Prohibited Uses
4.1 The Licensee may not:
Resell, redistribute, or sublicense the Licensed Music as a standalone product.
Use the Licensed Music in any defamatory, illegal, or obscene project.
5. Payment Terms
5.1 The total license fee for the Licensed Music is agreed upon at check out and must be paid in full before downloading or delivery of the track(s).
5.2 All payments are final and non-refundable, except as required by law or mutually agreed.
6. Deliverables
6.1 Upon full payment, the Licensor will deliver:
The Licensed Music in high-quality audio formats (e.g., WAV, MP3).
Music stems (if applicable) and alternate versions (e.g., instrumental, shorter cuts).
A Certificate of Exclusive License.
7. Indemnification
7.1 The Licensee agrees to indemnify and hold harmless the Licensor from any claims, damages, or liabilities arising out of the use of the Licensed Music.
8. Warranties and Representations
8.1 The Licensor warrants that:
The Licensed Music is original and free from third-party claims or ownership disputes.
The Licensor has full authority to grant exclusive rights to the Licensed Music.
8.2 The Licensee warrants that:
The Licensed Music will not be used in projects violating applicable laws.
9. Termination
9.1 This Agreement may only be terminated by mutual consent or as required by law.
9.2 If the Licensee breaches the terms of this Agreement, the Licensor reserves the right to revoke the license and seek damages.
10. Limitation of Liability
10.1 The Licensor shall not be liable for any indirect, incidental, or consequential damages resulting from the Licensee’s use or inability to use the Licensed Music.
11. Miscellaneous
11.1 This Agreement constitutes the entire agreement between the Licensor and Licensee regarding the Licensed Music.
11.2 This Agreement is governed by the laws of the state of Naples, Florida
1.1 The Licensor grants the Licensee exclusive rights to use the selected music track(s) for a limited time, as specified in this Agreement.
1.2 During the license period, the Licensor will not license the track(s) to any other party.
1.3 After the license period expires, the Licensed Music will revert to the Licensor’s catalog and may be licensed to other parties.
2. License Period
2.1 The exclusive rights granted under this Agreement are valid for [Insert Duration, e.g., 6 months, 1 year] from the date of purchase.
2.2 The Licensee may extend the license period by entering into a new agreement and paying the applicable renewal fee.
3. Permitted Uses

Use the Licensed Music in projects that violate applicable laws or contain defamatory, obscene, or illegal content.
4.2 The Licensee may not use the Licensed Music after the license period expires unless renewed.
5. Payment Terms
5.1 The Licensee agrees to pay a total fee according to the license price plan for the exclusive limited-time rights.
5.2 All payments are final and non-refundable, except as required by law or mutually agreed.
6. Deliverables
6.1 Upon receipt of payment, the Licensor will provide the following:
The Licensed Music in high-quality audio formats (e.g., WAV, MP3).
Stems or alternate versions (if applicable).
A Certificate of Exclusive Limited-Time License.
7. Attribution
7.1 Attribution is not required unless specified in the purchase terms.

8.1 This Agreement terminates automatically at the end of the license period unless renewed.
8.2 If the Licensee breaches the terms of this Agreement, the Licensor reserves the right to revoke the license immediately.
9. Ownership and Intellectual Property Rights
9.1 The Licensor retains full ownership of the Licensed Music, including all copyrights.
9.2 The Licensee is granted usage rights for the license period but does not acquire any ownership rights.
10. Indemnification
10.1 The Licensee agrees to indemnify and hold harmless the Licensor from any claims, damages, or liabilities arising from the Licensee’s use of the Licensed Music.
11. Limitation of Liability
11.1 The Licensor shall not be liable for any indirect, incidental, or consequential damages resulting from the Licensee’s use or inability to use the Licensed Music.
12. Miscellaneous
12.1 This Agreement constitutes the entire agreement between the Licensor and Licensee regarding the Licensed Music.
12.2 The Agreement is governed by the laws of the state of Florida
13. Renewal Terms
13.1 The Licensee may renew the exclusive rights by contacting the Licensor before the license period expires and paying the applicable renewal fee.
13.2 Renewal terms will be negotiated based on the scope of the project and market conditions.
The Licensor grants the Licensee an exclusive, worldwide, perpetual license to use the Composition in connection with the Project.
2.2 The Licensee shall have the right to synchronize the Composition with visual or audio-visual media, including but not limited to films, advertisements, video games, and digital media platforms.
2.3 The Licensee is not permitted to resell, redistribute, or repurpose the Composition outside the context of the agreed Project.
3.1 The Licensor retains the copyright and all underlying rights to the Composition, except as explicitly licensed under this Agreement.
3.2 The Licensee shall credit the Licensor as the creator of the Composition in a mutually agreed format, unless a written waiver is provided by the Licensor.
4.1 The Licensee agrees to pay a total fee of [Amount] USD for the creation and licensing of the Composition.
4.2 A [Percentage] non-refundable deposit is required before work on the Composition begins.
4.3 The remaining balance is due upon delivery of the final Composition.
4.4 Payments shall be made via debit or credit card and in accordance with the agreed schedule.
Responsibility:
The Licensee is responsible for ensuring compliance with all royalty payments and third-party reporting (e.g., to PROs).
Unauthorized use of our tracks is a violation of copyright law and may result in legal action.
Always ensure you have the proper license/package before using our music. In the event of a dispute, SingerTracks.com will work with all parties to resolve the issue amicably. If necessary, legal action may be pursued to protect intellectual property rights.
Music Creation Rights Creative Process: Soundtracksmusic.com reserves the right to use any tools, equipment, instruments, or technology to create its songs. This includes but is not limited to:
Software Synthesizers and Samplers: Allowing the manipulation of digital sounds, ranging from basic waveforms to complex, evolving textures.
Digital Audio Workstations (DAWs): Programs such as Ableton Live and Logic Pro used for audio editing and production.
Drum Machines: Both software and hardware devices used for crafting intricate, rhythmic patterns foundational to various genres.
MIDI Controllers and Keyboards: Tools enabling the creation and integration of melodic ideas and harmonies.
AI and Experimental Techniques: Incorporating artificial intelligence, different sound sources, rhythms, chord progressions, and melodies to craft engaging, cohesive tracks.
Modular Synthesizers: Hardware synths that allow artists to build custom signal paths for unique sounds.
Analog Tape Machines: Used for recording or adding warmth and saturation to music.
Physical Controllers: Devices like launchpads, touch-sensitive screens, or hardware sequencers for hands-on control.
Guitar and Bass Effect Pedals: Used to alter and shape the sound of instruments beyond their natural tones.
Field Recorders: Portable devices for capturing ambient or real-world sounds.
Turntables and DJ Controllers: For creating, manipulating, or remixing tracks in real time.

Users agree to hold SingerTracks.com harmless in the event of:
Acts of God, including natural disasters or events outside the control of SingerTracks.com.
Fraudulent activities perpetrated by third parties.
Technical issues, such as system failures or server outages.
Finality of Transactions
All purchases are final. Refunds or exchanges will not be issued unless explicitly stated by SingerTracks.com.
Once a track is sold, SingerTracks.com relinquishes all rights to re-list or redistribute the track.
Limitation of Responsibility
SingerTracks.com disclaims liability for any indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the platform.
